1. Acceptance of Terms

By accessing or using the ViciStack website (vicistack.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you ("you" or "Customer") and ViciStack ("we," "our," or "us").

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, providing additional notice. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.

2. Description of Services

ViciStack provides VICIdial optimization, management, and consulting services, including but not limited to:

  • VICIdial system audits and health checks
  • AMD (Answering Machine Detection) optimization
  • DID reputation monitoring and management
  • Campaign configuration and dial ratio tuning
  • Carrier routing optimization
  • Ongoing managed services and support
  • Custom development and integration services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Free Audit Terms

ViciStack offers a free 247-point VICIdial audit subject to the following conditions:

  • The free audit is available to qualifying organizations operating VICIdial or vicidial-based systems.
  • We require read-only access to your VICIdial system to perform the audit. We will not modify any settings without your explicit written consent.
  • Audit results and reports are provided "as is" and are intended for informational purposes only.
  • The free audit does not obligate you to purchase any services.
  • We reserve the right to decline audit requests at our discretion.
  • Audit reports are confidential and intended solely for the requesting organization.

4. Payment Terms

For paid services:

  • Fees are as quoted in your service agreement or as listed on our pricing page at the time of purchase.
  • Monthly subscriptions are billed in advance on the first of each billing cycle.
  • All fees are in US Dollars unless otherwise specified.
  • Late payments may incur a fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • We reserve the right to suspend services for accounts with balances overdue by more than 15 days.
  • Refunds are handled on a case-by-case basis. Contact us within 30 days of any billing dispute.

5. Acceptable Use

You agree not to use our services to:

  • Violate any applicable local, state, national, or international law or regulation, including TCPA, TSR, FCC regulations, and state-specific telemarketing laws.
  • Make calls to numbers on the National Do Not Call Registry or applicable state DNC lists without a valid exemption.
  • Engage in fraudulent, deceptive, or misleading telemarketing practices.
  • Transmit malware, viruses, or any code designed to disrupt, damage, or limit the functionality of any system.
  • Attempt to gain unauthorized access to our systems, other users' accounts, or any connected networks.
  • Interfere with or disrupt the integrity or performance of our services.
  • Use our services in any manner that could damage, disable, or impair our infrastructure.

Violation of these terms may result in immediate termination of services without refund.

6. Intellectual Property

All content, features, and functionality of the ViciStack website and services — including but not limited to text, graphics, logos, icons, software, optimization algorithms, audit methodologies, and documentation — are owned by ViciStack and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content or intellectual property without our express written permission.

Your data remains your property. We claim no ownership over any data you provide to us or that we collect from your systems during the course of providing services.

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described in the Privacy Policy.

We implement industry-standard security measures to protect data transmitted to and stored by our systems. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

8. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Our services will be uninterrupted, timely, secure, or error-free.
  • The results obtained from using our services will be accurate or reliable.
  • Any specific level of improvement in call center metrics will be achieved.

Performance metrics, ROI projections, and benchmarks referenced on our website or in our reports are estimates based on historical data and are not guarantees of future performance. Actual results may vary based on your specific configuration, market conditions, and other factors.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VICISTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Termination

Either party may terminate the service agreement:

  • With 30 days' written notice for monthly subscriptions.
  • Immediately if the other party materially breaches these Terms and fails to cure the breach within 15 days of written notice.
  • Immediately if the other party becomes insolvent, files for bankruptcy, or ceases operations.

Upon termination, we will provide you with a copy of any data we hold on your behalf within 30 days of your request. After 90 days, we may delete all data associated with your account.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of such courts.
