Terms of Service

1. Acceptance of Terms

By accessing or using ViciStack's website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use our Services.

2. Description of Services

ViciStack provides a software optimization platform for VICIdial 3.4 call center deployments, including but not limited to: AI-powered answering machine detection, DID reputation management, list management optimization, dialer auto-configuration, quality control, coaching, and analytics tools. We also provide technical support, system audits, and implementation services.

3. Free Audit Terms

Our free 30-day VICIdial audit includes unlimited technical support and a 247-point system audit at no charge. By requesting a free audit, you agree to:

  • Provide accurate information about your VICIdial installation
  • Grant our engineers read access to your VICIdial configuration as needed for the audit
  • Receive communication from ViciStack about audit findings and service offerings

The free audit is limited to one per organization. We reserve the right to terminate free audit access at our discretion.

4. Payment Terms

Paid services are billed monthly in advance. All fees are non-refundable except as expressly stated. You authorize us to charge your payment method on a recurring basis. Prices may change with 30 days' notice. Failure to pay may result in suspension or termination of paid features.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), FTC Telemarketing Sales Rule, and applicable state telemarketing laws. You are solely responsible for ensuring your use of our Services complies with all applicable laws. You may not:

  • Use our Services to facilitate illegal telemarketing or violation of Do Not Call regulations
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Resell or sublicense our Services without written authorization
  • Use our Services in a manner that could damage, disable, or impair our systems

6. Intellectual Property

ViciStack retains all intellectual property rights in our platform, software, documentation, and content. Your use of our Services does not grant you any ownership rights. You retain ownership of your data and call center configuration information. By providing feedback or suggestions, you grant us a perpetual, royalty-free license to use such feedback.

7. Data and Privacy

Your use of our Services is subject to our Privacy Policy. By using our Services, you consent to our data practices described therein. You represent that you have all necessary rights to share any data you provide to us in connection with our Services.

8. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SPECIFIC PERFORMANCE RESULTS WILL BE ACHIEVED. STATED PERFORMANCE IMPROVEMENTS (20% CONVERSION INCREASE, 40% COST REDUCTION) ARE REPRESENTATIVE AVERAGES AND NOT GUARANTEED FOR EVERY DEPLOYMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VICISTACK'S LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VICISTACK IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL VICISTACK BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may terminate immediately if you violate these Terms or applicable law. Upon termination, your access to paid features will cease. We will provide a data export upon request within 30 days of termination.

11. Governing Law

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in St. Louis County, Missouri. You consent to personal jurisdiction in these courts.
